During the restructuring proceedings, the debtor and the out-of-court body carry out a number of activities aimed at improving the economic situation of the debtor&#039;s enterprise so that it can continue to operate in economic circulation. We distinguish the following types of restructuring proceedings:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Proceedings for approval of the arrangement<\/li>\n\n\n\n<li>Arrangement proceedings<\/li>\n\n\n\n<li>Accelerated arrangement procedure<\/li>\n\n\n\n<li><a href=\"https:\/\/pmrsa.pl\/en\/the-remedial-action-is-a-response-to-the-crisis\/\" data-wpil-monitor-id=\"1578\">Sanitation proceedings<\/a><\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">Arrangement proceedings and accelerated arrangement proceedings are opened upon a court decision. The court, issuing a decision on opening <a href=\"https:\/\/pmrsa.pl\/en\/what-if-the-court-rejects-the-application-for-consumer-bankruptcy\/\" data-wpil-monitor-id=\"1156\">restructuring proceedings also designates a supervisor<\/a> Court.<\/p>\n\n\n\n<h4 class=\"wp-block-heading has-text-align-center\">A few words about the article - Listen<\/h4>\n\n\n\n<p class=\"wp-block-paragraph\"><\/p>\n\n\n\n<figure class=\"wp-block-audio\"><audio controls src=\"https:\/\/pmrsa.pl\/wp-content\/uploads\/2024\/09\/Nadzorca-sadowy-w-postepowaniu-restrukturyzacyjnym.mp3\"><\/audio><\/figure>\n\n\n\n<p class=\"wp-block-paragraph\"><\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Who is the Court Supervisor?<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">In accordance with Article 23 of the Restructuring Law <a href=\"https:\/\/pmrsa.pl\/en\/effects-of-the-concealment-of-information-having-a-significant-impact-on-pending-insolvency-proceedings-of-a-consumer-part-1\/\">restructuring proceedings are being conducted<\/a> with the participation of a supervisor, who may be an arrangement supervisor or a court supervisor or administrator. The court supervisor is therefore one of the extrajudicial bodies in the restructuring proceedings, which - as the name suggests - supervises the proper course of the proceedings. In addition to supervising the proceedings, the court supervisor also has a number of rights and obligations, which are included in the Restructuring Law.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">First of all, in the above-mentioned proceedings, the right to manage the company is limited to the exercise of ordinary management, and any activities exceeding the scope of ordinary management require the consent of the arrangement supervisor. Due to the fact that the scope of ordinary management is a general concept and different <a href=\"https:\/\/pmrsa.pl\/en\/companies-producing-protective-equipment-for-individual-customers-and-hospitals-are-fighting-the-crisis\/\">for every company<\/a>, the arrangement supervisor should always instruct the debtor at the initial stage of the proceedings what activities fall within the scope of ordinary management, and for what activities he should apply to the supervisor for consent. The supervisor has 30 days from the receipt of the application to give consent, however he may also give consent after the debtor has performed such an activity. Each time, the lack of such consent means that <a href=\"https:\/\/pmrsa.pl\/en\/business-believes-that-high-inflation-will-continue\/\">that the act performed by the debtor becomes<\/a> unimportant.<br><\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>The duties of the judicial supervisor include, first of all,&nbsp;<\/strong><\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Notification to creditors about the opening of restructuring proceedings<\/li>\n\n\n\n<li>Preparation of a restructuring plan and a list of receivables and a list of disputed receivables<\/li>\n\n\n\n<li>Rate <a href=\"https:\/\/pmrsa.pl\/en\/step-7-creation-of-a-layout-proposal\/\" data-wpil-monitor-id=\"41\">arrangement proposals<\/a>and, if necessary, advising the debtor to change them in order to ensure compliance with the law and the possibility of their execution, taking action to ensure that creditors submit the largest possible number of valid votes, participating in the meeting of creditors and submitting an opinion on the possibility of implementing the arrangement.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">It should be noted that the debtor may, together with the restructuring application, request the appointment of a specific person or company to perform the function of a court supervisor, if at least 30% of receivables covered by the arrangement support this application, with the exception of creditors in a special relationship with the debtor, referred to in art. 116 of the Restructuring Law. Together with the application for the appointment of a specific person as a court supervisor, the debtor - in order to speed up the examination of the application and reduce correspondence to a minimum - should attach to the application the consent of the restructuring advisor to perform the function of a court supervisor.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Who can become a judicial supervisor?<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The function of a judicial supervisor is extremely <a href=\"https:\/\/pmrsa.pl\/en\/effects-of-concealment-of-information-having-a-significant-impact-on-pending-insolvency-proceedings-of-a-consumer-part-2\/\" data-wpil-monitor-id=\"19\">important in the proceedings<\/a> restructuring due to the scope of competences and obligations that a court supervisor must fulfill. Therefore, the legislator decided that a court supervisor can only be a person who has a license <a href=\"https:\/\/pmrsa.pl\/en\/the-restructuring-advisor-provides-support-and-obtains-the-necessary-funds\/\" data-wpil-monitor-id=\"2116\">restructuring adviser<\/a> and a commercial company whose partners who are liable for the company&#039;s obligations without limitation with all their assets or members of the management board representing the company hold a restructuring advisor license.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">When appointing a court supervisor, the court, in addition to the formal requirements described above, takes into account such circumstances as the number of cases in which the restructuring advisor acts as a court supervisor, administrator or trustee in bankruptcy proceedings, as well as the experience and additional qualifications of the restructuring advisor.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Sometimes, however, these selection criteria are not sufficient. In the case of restructuring of entities classified as a so-called Large Enterprise, the supervisor of the arrangement can only be a person who has a license of a restructuring advisor with the title of a qualified restructuring advisor. This is required in situations where the restructuring concerns:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>An entrepreneur who, in at least one of the last two financial years, employed an average of 250 or more employees on an annual basis, or achieved an annual net turnover from the sale of goods, products and services and financial operations exceeding the PLN equivalent of EUR 50 million, or achieved a balance sheet total of assets prepared at the end of one of these years that exceeded the PLN equivalent of EUR 43 million;<\/li>\n\n\n\n<li>Companies of significant importance to the state economy in the sense of the regulations governing the management of state property;<\/li>\n\n\n\n<li>Entrepreneurs of particular economic and defence importance, included in the list specified in the implementing provisions issued pursuant to the Act on organising tasks for the benefit of state defence carried out by entrepreneurs.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">Court Supervisor&#039;s Remuneration<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The Restructuring Law precisely defines the method by which the remuneration of the judicial supervisor is calculated. Due to the fact that each<a href=\"https:\/\/pmrsa.pl\/en\/bankruptcy-is-not-the-only-scenario\/\">not restructuring is different, it is impossible<\/a> establish a fixed amount of remuneration for the court supervisor. The legislator has made the remuneration of the court supervisor dependent on the individual situation of the restructuring entity. The calculation of remuneration consists of four parts:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Depends on the number of creditors participating in the proceedings;<\/li>\n\n\n\n<li>Depends on the sum of the receivables owed to the creditors who are participants in the proceedings;<\/li>\n\n\n\n<li>Determined by the court in accordance with the type of restructuring proceedings, the scope of activities undertaken by the court supervisor in the course of the proceedings and the work put into achieving the purpose of the proceedings \u2013 within a limit of up to ten base remunerations;<\/li>\n\n\n\n<li>Established in the event that, for reasons beyond the control of the judicial supervisor, the arrangement proceedings last longer than twelve months \u2013 within a limit of up to ten base remunerations.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">The base salary in the case discussed here means the average monthly salary in the business sector, without bonuses paid from profit in the third quarter of the previous year. This data is published by the President of the Central Statistical Office. Nadzorca s\u0105dowy jest wi\u0119c jednym z organ\u00f3w pozas\u0105dowych w post\u0119powaniu restrukturyzacyjnego, kt\u00f3ry \u2013 jak sama nazwa wskazuje \u2013 sprawuje nadz\u00f3r nad w\u0142a\u015bciwym przebiegiem post\u0119powania. Poza nadzorem nad post\u0119powaniem nadzorca s\u0105dowy posiada te\u017c szereg uprawnie\u0144 oraz obowi\u0105zk\u00f3w, kt\u00f3re zosta\u0142y zawarte w ustawie Prawo Restrukturyzacyjne. Przede wszystkim w wy\u017cej wskazanych post\u0119powaniach prawo do zarz\u0105dzania przedsi\u0119biorstwem zostaje ograniczone do sprawowania zwyk\u0142ego zarz\u0105du, a wszelkie czynno\u015bci przekraczaj\u0105ce zakres zwyk\u0142ego zarz\u0105du wymagaj\u0105 zgody nadzorcy uk\u0142adu. Z racji faktu, i\u017c zakres zwyk\u0142ego zarz\u0105du jest poj\u0119ciem og\u00f3lnym i innym dla ka\u017cdego przedsi\u0119biorstwa, nadzorca uk\u0142adu powinien ka\u017cdorazowo na wst\u0119pnym etapie post\u0119powania pouczy\u0107 d\u0142u\u017cnika jakie czynno\u015bci wchodz\u0105 w zakres zwyk\u0142ego zarz\u0105du, a na jakie czynno\u015bci powinien on wnie\u015b\u0107 do nadzorcy o wyra\u017cenie zgody. Nadzorca od otrzymania wniosku na wyra\u017cenie zgody ma 30 dni, jednak mo\u017ce on te\u017c wyrazi\u0107 zgod\u0119 ju\u017c po dokonaniu takiej czynno\u015bci przez d\u0142u\u017cnika. Ka\u017cdorazowo brak takiej zgody sprawia, \u017ce czynno\u015b\u0107 dokonana przez d\u0142u\u017cnika staje si\u0119 niewa\u017cna. Do obowi\u0105zk\u00f3w nadzorcy s\u0105dowego nale\u017cy przede wszystkim&nbsp; Nale\u017cy zwr\u00f3ci\u0107 uwag\u0119, \u017ce d\u0142u\u017cnik wraz z wnioskiem restrukturyzacyjnym mo\u017ce wnioskowa\u0107 o powo\u0142anie konkretnej osoby lub sp\u00f3\u0142ki do pe\u0142nienia funkcji nadzorcy s\u0105dowego, w przypadku, kiedy co najmniej 30% wierzytelno\u015bci obj\u0119tych uk\u0142adem popiera ten wniosek, za wyj\u0105tkiem wierzycieli pozostaj\u0105cych w szczeg\u00f3lnym stosunku z d\u0142u\u017cnikiem, o kt\u00f3rych mowa w art. 116 Prawa Restrukturyzacyjnego. Wraz z wnioskiem o wyznaczenie konkretnej osoby nadzorcy s\u0105dowego, d\u0142u\u017cnik \u2013 celem przyspieszenia rozpoznania wniosku oraz ograniczenia korespondencji do minimum \u2013 powinien za\u0142\u0105czy\u0107 do wniosku zgod\u0119 doradcy restrukturyzacyjnego do pe\u0142nienia funkcji nadzorcy s\u0105dowego. Kto mo\u017ce zosta\u0107 nadzorc\u0105 s\u0105dowym? Funkcja nadzorcy s\u0105dowego jest niezwykle istotna w post\u0119powaniu restrukturyzacyjnym ze wzgl\u0119du na zakres kompetencji i obowi\u0105zk\u00f3w jakie nadzorca s\u0105dowy musi spe\u0142ni\u0107. Dlatego te\u017c ustawodawca postanowi\u0142, i\u017c nadzorc\u0105 s\u0105dowym mo\u017ce by\u0107 tylko i wy\u0142\u0105cznie osoba, kt\u00f3ra posiada licencj\u0119 doradcy restrukturyzacyjnego oraz Sp\u00f3\u0142ka handlowa, kt\u00f3rej wsp\u00f3lnicy ponosz\u0105cy odpowiedzialno\u015b\u0107 za zobowi\u0105zania sp\u00f3\u0142ki bez ograniczenia ca\u0142ym swoim maj\u0105tkiem albo cz\u0142onkowie zarz\u0105du reprezentuj\u0105cy sp\u00f3\u0142k\u0119 posiadaj\u0105 licencj\u0119 doradcy restrukturyzacyjnego. S\u0105d wyznaczaj\u0105c osob\u0119 nadzorcy s\u0105dowego poza wymaganiami formalnymi opisanymi powy\u017cej bierze pod uwag\u0119 takie okoliczno\u015bci jak liczba spraw w kt\u00f3rych doradca restrukturyzacyjny pe\u0142ni funkcj\u0119 nadzorcy s\u0105dowego, zarz\u0105dcy lub syndyk a w post\u0119powaniach upad\u0142o\u015bciowych oraz do\u015bwiadczenie i dodatkowe kwalifikacje doradcy restrukturyzacyjnego. Czasami jednak te kryteria wyboru nie s\u0105 wystarczaj\u0105ce. W przypadku restrukturyzacji podmiot\u00f3w zakwalifikowanych jako tzw. Du\u017cy przedsi\u0119biorca, nadzorc\u0105 uk\u0142adu mo\u017ce by\u0107 jedynie osoba kt\u00f3ra posiada licencj\u0119 doradcy restrukturyzacyjnego z tytu\u0142em kwalifikowanego doradcy restrukturyzacyjnego. Wymagane to jest w sytuacjach, gdy restrukturyzacja dotyczy: Wynagrodzenie Nadzorcy S\u0105dowego Ustawa Prawo Restrukturyzacyjne precyzyjnie okre\u015bla spos\u00f3b, na podstawie kt\u00f3rego obliczane jest wynagrodzenie nadzorcy s\u0105dowego. Z uwagi na fakt, i\u017c ka\u017cde post\u0119powanie restrukturyzacyjne jest inne, nie spos\u00f3b jest ustali\u0107 sta\u0142ej kwoty wynagrodzenia nadzorcy s\u0105dowego. Ustawodawca uzale\u017cni\u0142 wynagrodzenie nadzorcy s\u0105dowego od indywidualnej sytuacji restrukturyzacyjnego podmiotu.
