HAWE S.A. (hereinafter , the \"Company\") announces that on 26 October 2016. The Trustee has obtained information that on 24 October 2016, the Commissioner Judge, appointed in the Company's sanitation proceedings, issued an order revoking the resolutions of the Board of Creditors dated 21 September 2016, i.e., the following:<\/p>\n

- Resolution No. 1\/09\/2016 concerning the dismissal of the previous Company Manager and the appointment of a company under the name of PMR Restrukturyzacje S.A. with its registered office in Warsaw to act as Company Manager
\n- resolutions no. 2\/9\/2016 in regarding making HAWE company documents available to PMR Restrukturyzacje SA<\/a> SA in restructuring.<\/p>\n

In addition, the Commissioner Judge decided to suspend the execution of resolutions 1\/9\/2016 and 2\/9\/2016 until the order of revocation becomes final.<\/p>\n

The above-mentioned order was issued as a result of the examination of the objections filed with the Commissioner Judge by Orange Polska S.A., Alior Bank S.A. and the Administrator. In the grounds for the order, the Commissioner Judge indicated that the resolutions adopted by the Creditors' Council at its meeting on 21 September 2016 were contrary to the law as violating the provisions of the Rules of Procedure of the Creditors' Council.<\/p>\n

The company informed about adoption of resolutions by the Council of Creditors<\/a> No. 1\/9\/2016 and 2\/9\/2016 in the current report No. 43\/2016 of September 22, 2016. Furthermore, on October 5, 2016, the Company informed in the current report No. 45\/2016 about the filing of charges by the Administrator against Resolutions of the Creditors' Council<\/a> No. 1\/9\/2016.<\/p>\n

Ponadto S\u0119dzia Komisarz postanowi\u0142 o wstrzymaniu wykonania uchwa\u0142 nr 1\/9\/2016 i 2\/9\/2016 do czasu uprawomocnienia si\u0119 postanowienia o ich uchyleniu. Powy\u017csze postanowienie zosta\u0142o wydane w wyniku rozpoznania zarzut\u00f3w wniesionych do S\u0119dziego Komisarza przez Orange Polska S.A., Alior Bank S.A. oraz Zarz\u0105dc\u0119. W uzasadnieniu postanowienia S\u0119dzia Komisarz wskaza\u0142, \u017ce uchwa\u0142y podj\u0119te przez Rad\u0119 Wierzycieli na posiedzeniu w dniu 21 wrze\u015bnia 2016 r. by\u0142y sprzeczne z prawem, jako naruszaj\u0105ce przepisy Regulaminu Rady Wierzycieli. Sp\u00f3\u0142ka informowa\u0142a o podj\u0119ciu przez Rad\u0119 Wierzycieli uchwa\u0142 nr 1\/9\/2016 oraz 2\/9\/2016 w raporcie bie\u017c\u0105cym nr 43\/2016 z dnia 22 wrze\u015bnia 2016 roku. Ponadto w dniu 5 pa\u017adziernika 2016 roku Sp\u00f3\u0142ka informowa\u0142a raportem bie\u017c\u0105cym nr 45\/2016 o wniesieniu zarzut\u00f3w przez Zarz\u0105dc\u0119 wobec uchwa\u0142y Rady Wierzycieli nr 1\/9\/2016.
