The Management Board of Mediatel SA ("Issuer") hereby informs that on April 12, 2017, Hawe Telekom Sp. z o. o. in restructuring with its registered office in Warsaw ("Company") filed objections against Resolution of the Board of Creditors No. 1\/03\/2017 dated April 3, 2017 regarding the dismissal from the function of administrator PMR companies Restructuring<\/a> SA (the \u201cAdministrator\u201d) and the appointment of restructuring advisor Wies\u0142aw Ostrowski in his place (the \u201cResolution\u201d).<\/p>\n

Management Hawe Telekom<\/a> Sp. z o. o. in restructuring does not agree with the decision of the Council Creditors and consider it as the next step<\/a> Agencja Rozwoju Przemys\u0142u S.A. ("ARP S.A."), which may lead to an attempted hostile takeover of the Company, about which the Issuer reported in more detail in Current Report No. 7\/2017 of April 11, 2017.<\/p>\n

In the opinion of the Company's Management Board, the Resolution was adopted in gross violation of the Restructuring Law, as the Creditors' Council has no competence to dismiss and appoint the Administrator, and only the court has such competence.<\/p>\n

In addition, it should be pointed out that, in the opinion of the Company's Management Board, there are no reasons whatsoever that would justify the dismissal of the previous Administrator.<\/p>\n

The Management Board of Mediatel S.A. (the \u201cIssuer\u201d) hereby announces that on 12 April 2017 Hawe Telekom Sp. z o.o. under restructuring with its registered office in Warsaw (the \u201cCompany\u201d) filed objections against Resolution No. 1\/03\/2017 of the Board of Creditors dated 3 April 2017 regarding the dismissal from the position of administrator of PMR Restrukturyzacje S.A. (the \u201cAdministrator\u201d) and the appointment of Wies\u0142aw Ostrowski as restructuring advisor in his place (the \u201cResolution\u201d). The Management Board of Hawe Telekom Sp. z o. o. w restrukturyzacji (in restructuring) does not agree with the decision of the Creditors' Council and considers it to be another step by Agencja Rozwoju Przemys\u0142u S.A. ("ARP S.A."), which may lead to an attempted hostile takeover of the Company, which the Issuer informed about in more detail in Current Report No. 7\/2017 dated April 11, 2017. In the opinion of the Company's Management Board, the Resolution was adopted in flagrant violation of the Restructuring Law, as the Creditors' Council does not have the authority to dismiss and appoint the Administrator, and only the court has such authority. Furthermore, it should be noted that, in the opinion of the Company's Management Board, there are no reasons that would justify the dismissal of the current Administrator.
