{"id":5868,"date":"2019-05-29T14:00:00","date_gmt":"2019-05-29T12:00:00","guid":{"rendered":"http:\/\/pmr-restrukturyzacje.local\/pmr\/doradcy-restrukturyzacyjni-bez-wynagrodzenia\/"},"modified":"2019-05-29T14:00:00","modified_gmt":"2019-05-29T12:00:00","slug":"restructuring-advisors-without-remuneration","status":"publish","type":"post","link":"https:\/\/pmrsa.pl\/en\/restructuring-advisors-without-remuneration\/","title":{"rendered":"Restructuring advisers without remuneration"},"content":{"rendered":"<p>Restructuring advisors have to wait up to years to be paid for their work and often do not get paid at all.<\/p>\n<p>Professionals who are responsible for restructuring companies complain about the difficulty of getting paid.<\/p>\n<div class=\"ramka1\">\n- For half of the restructuring proceedings that we conducted, DGA did not receive remuneration or reimbursement of expenses incurred for them,\" says Andrzej G\u0142owacki, president of DGA Centrum Sanacji Firm.\n<\/div>\n<p><b>Success bonus<\/b><\/p>\n<p>Salary amount <a href=\"https:\/\/pmrsa.pl\/en\/the-restructuring-advisor-provides-support-and-obtains-the-necessary-funds\/\"  data-wpil-monitor-id=\"2037\">restructuring advisers<\/a> and the method of its payment has been regulated in the Restructuring Law, which came into force at the beginning of 2016. In general, the payment depends to a large extent on the results of the proceedings, and if they do not end positively, there is no guarantee of receiving it.<\/p>\n<div class=\"ramka1\">\n- The legislator wrongly assumed that the majority of proceedings would be successful. Meanwhile, studies and analyses of the operation of the aforementioned Act clearly show that only a few per cent of proceedings were concluded with creditors, and the number of executed agreements can be counted on the fingers of one hand, says Andrzej G\u0142owacki.\n<\/div>\n<div class=\"ramka1\">\n- The idea was to reward the involvement of advisers by making a successful arrangement with creditors. In principle, this is not a bad idea. But making the payment of the entire amount conditional on the implementation of the arrangement, which sometimes takes many years, should not be at the expense of such specialists, emphasises Ma\u0142gorzata Anisimowicz, President of PMR Restrukturyzacje.\n<\/div>\n<p><b>Lengthy proceedings<\/b><\/p>\n<p>According to Piotr Zimmerman, legal adviser and <a href=\"https:\/\/pmrsa.pl\/en\/step-2-consultation-with-the-restructuring-consultants-office\/\"  data-wpil-monitor-id=\"50\">restructuring adviser<\/a> in the company Zimmerman i Wsp\u00f3lnicy, the situation of advisors would be much better if the payment of remuneration took place at least in terms similar to the instructions provided for in the act. However, the proceedings are lengthy, and the act does not provide for mechanisms to protect the interests of advisors in such situations.<\/p>\n<p>The problem does not apply to proceedings for approval of an arrangement. Here, the debtor's agreement with the arrangement supervisor handles the subject in an arbitrary manner. However, already in the most common accelerated arrangement procedure (PPU), the barrier is the lack of advance payment and deposit for the remuneration of the administrator.<\/p>\n<div class=\"ramka1\">\n- Everything would be fine if the proceedings lasted 3-4 months, as planned by the legislator. But when the supervisor has to wait 6-12 months for its conclusion and the remuneration order contained therein, it becomes a problem to cover the usual running costs, says Piotr Zimmerman.\n<\/div>\n<p>If the PPU is discontinued, the court supervisor is obliged to do so within a week <a href=\"https:\/\/pmrsa.pl\/en\/whether-an-employee-can-file-for-bankruptcy-of-the-employer\/\"  data-wpil-monitor-id=\"1154\">submit an application<\/a> to determine the remuneration. Very often the debtor files an appeal against the court&#039;s decision to discontinue. It takes 2-6 months to consider it. During this time the debtor usually gets rid of the cash. If the appeal is dismissed, he files it again in the district court and again he has to wait a few months.<\/p>\n<div class=\"ramka1\">\n- A receiver soon appears and it remains for the restructuring advisor to report its claim to the bankruptcy estate,\" explains Andrzej G\u0142owacki.\n<\/div>\n<div class=\"ramka1\">\n- If the arrangement in the PPU is not accepted, the supervisor is entitled to 40 percent of the remuneration. Generalnie zap\u0142ata w du\u017cej mierze jest uzale\u017cniona od efekt\u00f3w post\u0119powania, a je\u015bli nie zako\u0144czy si\u0119 ono pozytywnie, nie ma gwarancji jej otrzymania. &#8211; Ustawodawca b\u0142\u0119dnie przyj\u0105\u0142, \u017ce wi\u0119kszo\u015b\u0107 post\u0119powa\u0144 b\u0119dzie ko\u0144czy\u0142a si\u0119 sukcesem. Tymczasem badania i analizy dotycz\u0105ce dzia\u0142ania wspomnianej ustawy jasno pokazuj\u0105, \u017ce jedynie w przypadku kilku procent post\u0119powa\u0144 dochodzi\u0142o do zawarcia uk\u0142adu z wierzycielami, a liczb\u0119 wykonanych uk\u0142ad\u00f3w mo\u017cna policzy\u0107 na palcach jednej r\u0119ki &#8211; m\u00f3wi Andrzej G\u0142owacki. &#8211; Zamys\u0142 by\u0142 taki, \u017ceby premiowa\u0107 zaanga\u017cowanie doradc\u00f3w poprzez odniesienie sukcesu, jakim jest zawarcie uk\u0142adu z wierzycielami. Co do zasady nie jest to z\u0142y pomys\u0142. Ale uzale\u017cnienie wyp\u0142aty ca\u0142ej kwoty od realizacji uk\u0142adu, co czasem nast\u0119puje po wielu latach, nie powinno odbywa\u0107 si\u0119 kosztem takich specjalist\u00f3w &#8211; podkre\u015bla Ma\u0142gorzata Anisimowicz, prezes PMR Restrukturyzacje. Przewlek\u0142o\u015b\u0107 post\u0119powa\u0144 Zdaniem Piotra Zimmermana, radcy prawnego i doradcy restrukturyzacyjnego w sp\u00f3\u0142ce Zimmerman i Wsp\u00f3lnicy, sytuacja doradc\u00f3w by\u0142aby o niebo lepsza, gdyby p\u0142atno\u015b\u0107 wynagrodzenia odbywa\u0142a si\u0119 w terminach cho\u0107by zbli\u017conych do instrukcyjnych, przewidzianych ustaw\u0105. Post\u0119powania s\u0105 jednak przewlek\u0142e, a ustawa nie przewiduje mechanizm\u00f3w zabezpieczaj\u0105cych interesy doradc\u00f3w w takich sytuacjach. Problem nie dotyczy post\u0119powania o zatwierdzenie uk\u0142adu. Tutaj umowa d\u0142u\u017cnika z nadzorc\u0105 uk\u0142adu za\u0142atwia temat w spos\u00f3b dowolny. Jednak ju\u017c w najpowszechniejszym przyspieszonym post\u0119powaniu uk\u0142adowym (PPU) barier\u0105 jest brak zaliczek i depozytu na wynagrodzenie zarz\u0105dcy. &#8211; Wszystko by\u0142oby w porz\u0105dku, gdyby post\u0119powanie trwa\u0142o 3-4 miesi\u0105ce, tak jak to zaplanowa\u0142 ustawodawca. Ale gdy na jego zako\u0144czenie i zawarte w nim postanowienie o wynagrodzeniu nadzorca ma czeka\u0107 6-12 miesi\u0119cy, problemem staje si\u0119 pokrywanie zwyk\u0142ych bie\u017c\u0105cych koszt\u00f3w funkcjonowania &#8211; m\u00f3wi Piotr Zimmerman. Je\u015bli PPU zostanie umorzone, nadzorca s\u0105dowy jest zobowi\u0105zany w ci\u0105gu tygodnia z\u0142o\u017cy\u0107 wniosek o ustalenie wynagrodzenia. Bardzo cz\u0119sto d\u0142u\u017cnik wnosi za\u017calenie na postanowienie s\u0105du o umorzeniu. Jego rozpatrzenie zajmuje 2-6 miesi\u0119cy. Ale nie ma sk\u0105d \u015bci\u0105gn\u0105\u0142 pieni\u0119dzy, szczeg\u00f3lnie je\u015bli okazuje si\u0119, \u017ce firma d\u0142u\u017cnika nie ma maj\u0105tku, aby og\u0142osi\u0107 upad\u0142o\u015b\u0107 &#8211; m\u00f3wi Ma\u0142gorzata Anisimowicz.
