They do it when there are already problems with insolvency, which rather oblige to <a href=\"https:\/\/pmrsa.pl\/en\/does-filing-a-bankruptcy-petition-suspend-enforcement\/\"  data-wpil-monitor-id=\"1091\">filing for bankruptcy<\/a> than to carry out remedial proceedings.<br \/>\nThis is the result of the still low awareness of the benefits of <a href=\"https:\/\/pmrsa.pl\/en\/restructuring-bielsko-biala\/\"  data-wpil-monitor-id=\"1732\">restructuring<\/a> and when is the best time to carry it out.<\/p>\n<p><i>\u2013 Although it is clear that the number of conscious entrepreneurs is growing every year. Such entrepreneurs are constantly analyzing financial statements, upcoming legal changes or market conditions. They notice threats and make sure that they do not have a catastrophic impact on their business. They decide to implement solutions that will minimize negative consequences in a situation where unfavorable predictions are confirmed \u2013 explains Ma\u0142gorzata Anisimowicz, president of the board <a href=\"https:\/\/pmrsa.pl\/en\/pmr-announcement-restructuring-sa-4\/\"  data-wpil-monitor-id=\"1471\">PMR Restructuring<\/a>.<\/i><\/p>\n<p>According to her, as recently as 2016, there were hardly any such companies. Today, they account for approx. 30 per cent.<br \/>\n<i>\u2013 The ideal situation would be if the proportions were reversed \u2013 i.e. if the percentage of conscious entrepreneurs was 70%. <a href=\"https:\/\/pmrsa.pl\/en\/when-to-restructure-and-when-to-file-for-bankruptcy\/\"  data-wpil-monitor-id=\"1288\">restructuring<\/a> could more often end in success, which would help to avert a crisis situation, and not only prolong the company&#039;s agony, the expert emphasises.<\/i><br \/>\nAs he explains, <a href=\"https:\/\/pmrsa.pl\/en\/restructuring-as-a-way-to-deal-with-the-problems-of-local-government-companies\/\"  data-wpil-monitor-id=\"144\">restructuring undertaken at an early stage of trouble<\/a> provides a wide spectrum of activities, from activating financing, through contract negotiations, to modifying the business model.<\/p>\n<p><a href=\"https:\/\/pmrsa.pl\/en\/getting-your-company-out-of-trouble-step-by-step\/\"  data-wpil-monitor-id=\"2030\"><\/a>Ma\u0142gorzata Anisimowicz believes that too many owners and managers see the occurrence of problems in their company as a temporary situation that can be dealt with on their own, without the help of a specialist, because, after all, no one knows their business as well as they do.<\/p>\n<p><i>\u2013 Our entrepreneurs <a href=\"https:\/\/pmrsa.pl\/en\/restructuring-law-still-few-companies-benefit-from-the-aid\/\"  data-wpil-monitor-id=\"2142\">they still tend to be closed to help<\/a> from the outside, show aversion to change. In the absence of economic conditions, they prefer to wait for its return than to adapt to new market conditions - he explains. And adds that they are afraid to use the help of an external specialist, because in their opinion it means losing power - And that is not true. Unless it comes to <a href=\"https:\/\/pmrsa.pl\/en\/the-remedial-action-is-a-response-to-the-crisis\/\"  data-wpil-monitor-id=\"1652\">sanitation proceedings<\/a>. Then the court can take away the debtor&#039;s own management and entrust it to a designated person. However, there is no such risk at the early stage of restructuring - assures Ma\u0142gorzata Anisimowicz.<\/i><br \/>\nHe urges us to believe in the existence of tools to help solve problems.<\/p>\n<p><b>Trustworthy partner<\/b><\/p>\n<p><i>There is no chance of restructuring without an adequate capital base. Unfortunately, financial institutions are not interested in providing support because <a href=\"https:\/\/pmrsa.pl\/en\/the-fourth-wave-of-covid-19-and-the-wave-of-company-restructuring\/\"  data-wpil-monitor-id=\"743\">From the moment the proceedings are initiated, the company is considered to be in restructuring<\/a>, which means an increased risk of cooperation for the bank. Despite the fact that the Restructuring Law states that in the event of a failure of the restructuring proceedings, i.e. <a href=\"https:\/\/pmrsa.pl\/en\/can-companies-afford-bankruptcy\/\"  data-wpil-monitor-id=\"225\">company bankruptcy<\/a>, the entity that provided it with financing to get out of trouble acquires priority in satisfying the receivables. That is why the choice of the consulting company that is commissioned to carry out the restructuring is so important. - The advisor not only indicates the possibilities of financing the process, but should also get involved in obtaining money for this purpose. There are, for example, various types of funds on the market, but <a href=\"https:\/\/pmrsa.pl\/en\/restructuring\/\"  data-wpil-monitor-id=\"1819\">restructuring<\/a> It is also possible through ownership changes, i.e. mergers of companies or resale of shares \u2013 lists Ma\u0142gorzata Anisimowicz. <\/i><\/p>\n<p>He points out that, for example, looking for an investor on one's own by an entity that has no experience in this area is a misunderstanding. There is no guarantee of success and the lengthy process throws the company into even more financial difficulties, often leading to bankruptcy.<\/p>\n<p><i>- Entrepreneurs should remember that there are statutory prerequisites for filing a bankruptcy petition. If they are not met, the company's management exposes itself to criminal liability for undertaking liabilities or actions to the company's detriment, warns Ma\u0142gorzata Anisimowicz. - Stuck in the boat with the idea that it will be fine may cause all deadlines to pass, she adds.<\/i><\/p>\n<p>What else should be taken into account when choosing a restructuring adviser. <i>It is certainly worth looking at the list on the website of the Ministry of Justice. All authorised advisers are included, that is, both practising and non-practising advisers. Another thing to do is to verify experience. This can be done by checking how many proceedings and what kind of proceedings the adviser has conducted, with what result, what resources he has at his disposal. - Acting alone is not enough. Jak t\u0142umaczy, restrukturyzacja podejmowana na wczesnym etapie k\u0142opot\u00f3w daje szerokie spektrum dzia\u0142ania, pocz\u0105wszy od uruchomienia finansowania, przez negocjacje um\u00f3w, a\u017c po modyfikacj\u0119 modelu biznesowego. Partner godny zaufania Nie ma szans na restrukturyzacj\u0119 bez odpowiedniego zaplecza kapita\u0142owego. Niestety, instytucje finansowe nie s\u0105 zainteresowane udzielaniem wsparcia, poniewa\u017c firma od momentu wszcz\u0119cia post\u0119powania zyskuje miano b\u0119d\u0105cej w restrukturyzacji, co dla banku oznacza zwi\u0119kszone ryzyko wsp\u00f3\u0142pracy. Mimo to, \u017ce ustawa \u2013 Prawo restrukturyzacyjne m\u00f3wi, i\u017c w razie kl\u0119ski post\u0119powania restrukturyzacyjnego, czyli upad\u0142o\u015bci firmy, podmiot, kt\u00f3ry udzieli\u0142 jej finansowania na poczet wyj\u015bcia z k\u0142opot\u00f3w nabywa pierwsze\u0144stwo zaspokojenia wierzytelno\u015bci. Dlatego tak istotny jest wyb\u00f3r firmy doradczej, kt\u00f3rej zleca si\u0119 przeprowadzenie restrukturyzacji. \u2013 Doradca nie tylko wskazuje mo\u017cliwo\u015bci finansowania procesu, ale te\u017c powinien zaanga\u017cowa\u0107 si\u0119 w pozyskanie pieni\u0119dzy na ten cel. Na rynku s\u0105 np. r\u00f3\u017cnego rodzaju fundusze, ale restrukturyzacja jest te\u017c mo\u017cliwa poprzez zmiany w\u0142asno\u015bciowe, czyli \u0142\u0105czenie si\u0119 firm, czy odsprzeda\u017c udzia\u0142\u00f3w \u2013 wymienia Ma\u0142gorzata Anisimowicz. Zwraca uwag\u0119, \u017ce np. szukanie na w\u0142asn\u0105 r\u0119k\u0119 inwestora przez podmiot, kt\u00f3ry nie ma w tym zakresie \u017cadnego do\u015bwiadczenia, to nieporozumienie. Nie ma \u017cadnej gwarancji powodzenia, a d\u0142ugotrwa\u0142y proces wp\u0119dza przedsi\u0119biorstwo w jeszcze wi\u0119ksze k\u0142opoty finansowe, cz\u0119sto prowadz\u0105ce do upad\u0142o\u015bci. \u2013 Przedsi\u0119biorcy powinni pami\u0119ta\u0107 o tym, \u017ce istniej\u0105 przes\u0142anki ustawowe do z\u0142o\u017cenia wniosku o upad\u0142o\u015b\u0107. Na pewno warto zajrze\u0107 na list\u0119 znajduj\u0105c\u0105 si\u0119 na stronie Ministerstwa Sprawiedliwo\u015bci. S\u0105 na niej uwzgl\u0119dnieni wszyscy doradcy z uprawnieniami, czyli zar\u00f3wno ci wykonuj\u0105cy, jak i niewykonuj\u0105cy zawodu. Kolejna sprawa to weryfikacja do\u015bwiadczenia. Mo\u017cna to zrobi\u0107, sprawdzaj\u0105c, ile post\u0119powa\u0144 i jakie doradca przeprowadzi\u0142, z jakim skutkiem, jakimi zasobami dysponuje. \u2013 Dzia\u0142anie w pojedynk\u0119 nie wystarczy. Powinien mie\u0107 specjalist\u00f3w od prawa, ekonomii, sztuki negocjacji czy analityk\u00f3w oraz do\u015bwiadczenie we wsp\u00f3\u0142pracy z instytucjami finansowymi \u2013 zaznacza Ma\u0142gorzata Anisimowicz.
